Board of Director’s Organization Meeting
January 27, 2024
Roger Pence called the meeting to order at 6:04 pm.
All directors were present with one guest, Vivien Pence.
We began with a discussion of whether spouses of directors can also serve on the board of directors. An Executive Board Meeting is scheduled in March to pursue the subject by reading and understanding the ORS, our CC&Rs, and the Bylaws to see if there are changes that we wish to bring to the attention of the homeowners.
The election of officers was held and the results are:
President = Roger Pence
Vice President = Aleena Stephens-Tregarth
Secretary = Peggy Rouse
Treasurer = Dan Hickox
These ballots were tallied and verified by Roger Pence and Peggy Rouse.
As Aleena is a new officer, she will be included as a signatory on the Association checking account.
The next order of business was to sign up directors and our guest to committees who weren’t already on one.
Those committees and members are:
Architecture: Aleena Stephens-Tregarth, K.C. Marold, Kelli Brooker, LV VanBlaricom, Vivien
Pence
Budget: Dan Hickox, Rich Rouse
Hospitality: Peggy Rouse, Nancy Vaughn, Kelli Brooker
Landscape: Dan Hickox, Roger Pence, Larry Flake, Bill McGann
Maintenance/Reserve Study: Roger Pence, Rich Rouse, Peggy Good, Don Dyer
Website/Facebook: Paul McAfee, Dan Hickox
The Board of Directors reviewed and voted to amend the scrivener’s error (typo) in Chapter 6 of the Bylaws. We had two (2) 6.40 items. After a unanimous yes vote to correct the error, the Bylaws will be amended to have a 6.40 item and a 6.45 item. The amendment will be certified by the President and Secretary and filed with Yamhill County.
Peggy Rouse brought up the need for an ad hoc Parking Issue Committee. There have been violations and complaints by residents concerning this problem. In looking back through several years of meeting minutes, she found that this is an ongoing problem. Roger made the motion to create an ad hoc committee and Aleena seconded. It was unanimously approved. Peggy will chair the committee and organize the committee members. Their recommendations will be presented to the Board at a future meeting. Peggy removed herself from the Landscape Committee in order to work on the Parking Issue Committee.
Don Dyer asked that a Volunteer Committee be formed to handle small jobs like helping install the upcoming walkway lights, stripping moss off of pathways, helping older residents with small jobs, etc. Peggy Rouse made the motion to form a Volunteer Committee chaired by Don Dyer, and Dan Hickox seconded. It was unanimously approved. Roger Pence and Dan Hickox will meet with Don and come up with a laundry list of things that volunteers can do. Don will organize the committee members and report back to the Board at a future meeting.
The Board of Director’s Organization Meeting was adjourned at 7:09 pm.
